United
International Bank Agreement This Agreement is a contract that establishes the rules that cover
your Internet access to your accounts at United International Bank (UIB)
through UIB’s Internet Banking services. By using UIB’s Internet Banking
service, you accept all the terms and conditions of this Agreement. Access To use UIB’s Internet Banking services, you must have an account at UIB,
access to Internet service, and an e-mail address. Once we have received
your signed Application Form, and verified your account information, we
will send you by postal mail confirmation of our acceptance of your
application, along with your assigned Username and temporary Password.
Internet Banking can be used to access only the UIB deposit or loan
accounts on which you have been designated as an account owner.
Business Account
Hours of Access Internet Banking service is available seven days a week, twenty-four hours a day; however, some or all services may not be available occasionally due to emergency or scheduled system maintenance. Password For security purposes, you are required to change your Password upon
your initial login to the Internet Banking. You determine what Password
you will use. Security You understand the importance of your role in preventing misuse of your accounts through Internet Banking and you agree to promptly examine your paper/electronic statement for each of your accounts as soon as you receive it. You agree to protect the confidentiality of your Password and Username. Your Password and Username are intended to provide security against unauthorized entry and access to your accounts. Data transferred via Internet Banking services is encrypted in an effort to provide transmission security and utilizes identification technology to verify that the sender and receiver of transmissions can be appropriately identified by each other. Notwithstanding our efforts to insure that the Internet Banking system is secure, you acknowledge that all data transfers, including electronic mail, occur openly on the Internet and potentially can be monitored and read by others. We cannot and do not warrant that all data transfers utilizing Internet Banking services, or e-mail transmitted to and from us, will not be monitored or read by others. E-mail is not encrypted and is not secure. Never send specific account information via e-mail. The AutoComplete feature that is found in popular web browsers might be convenient to users by pre-populate fields as you type with memorized past entries, however it can also pose a serious security risk when the memorized entries are your security answers or username and password. This feature is especially vulnerable to theft of personal/account information if you are not sure you are the only one who has access to the computer used for email or Internet Banking, e.g., workplace computer, internet café. To turn off the AutoComplete feature in Microsoft Internet Explorer you can do the following steps:
Fees and Charges You agree to pay the fees and charges for your use of UIB Internet Banking Services. You agree that all such fees and charges will be deducted from the account designated on your application. If you close your designated account, you must contact us immediately to designate another account. You agree to pay any additional reasonable charges for services you request that are not covered by this Agreement. You are also responsible for telephone and Internet service fees you incur in connection with your use of Internet Baking Services. Transfers Internal Transfers initiated through Internet Banking before 5:00 pm. (Eastern Time) on a business day are posted to your account the same day. Transfers completed after 5:00 p.m. (Eastern Time) on a business day; or on a Saturday, Sunday or banking holiday may be posted on the next business day. The cutoff time for wire transfer requests initiated through Business Internet Banking is 4:00 p.m. (Eastern Time). Overdrafts (Posting Priority of Payments, Transfers, and Other Withdrawals) If your account has insufficient funds to perform electronic fund transfers you have requested for a given business day, then:
Limits on Amounts and Frequency of Internet Banking Transactions The number of transfers from UIB accounts and the amounts, which may be transferred, are limited pursuant to the terms of the applicable deposit agreement and disclosure for those accounts. If a hold has been placed on deposits made to an account from which you wish to transfer funds, you cannot transfer the portion of the funds held until the hold expires. Transfers from a savings or money market deposit account requested via computer count toward the 6 transfers per cycle limit required by Federal Regulation D. Periodic Statements You will not receive a separate Internet Banking statement. Transfers to and from your accounts using Internet Banking will appear on the respective periodic paper/electronic statements for your accounts. Change in Terms We may change any term of this Agreement at any time. If the change would result in increased fees for any Internet Banking service, increased liability for you, fewer types of available electronic fund transfers, or stricter limitations on the frequency or dollar amount of transfers, we agree to give you notice at least 30 days before the effective date of any such change, unless an immediate change is necessary to maintain the security of an account or our electronic fund transfer system. We will post any required notice of the change in terms on the UIB website or forward it to you by e-mail or by postal mail. If advance notice of the change is not required, and disclosure does not jeopardize the security of the account or our electronic fund transfer system, we will notify you of the change in terms within 30 days after the change becomes effective. Your continued use of any or all of the subject Internet Banking services indicates your acceptance of the change in terms. We reserve the right to waive, reduce, or reverse charges or fees in individual situations. You acknowledge and agree that changes to fees applicable to specific accounts are governed by the applicable deposit agreements and disclosures. Disclaimer of Warranty and Limitation of Liability We make no warranty of any kind, express or implied, including any
implied warranty of merchantability or fitness for a particular purpose,
in connection with the Internet Banking services provided to you under
this Agreement. We do not and cannot warrant that Internet Banking will
operate without errors, or that any or all Internet Banking services
will be available and operational at all times. Except as specifically
provided in this Agreement, or otherwise required by law, you agree that
our Officers, Trustees, Employees, Agents or Contractors are not liable
for any indirect, incidental, special or consequential damages under or
by reason of any services or products provided under this Agreement or
by reason of your use of or access to Internet Banking, including: loss
of profits, revenue, data or use by you or any third party, whether in
an action in contract or tort or based on a warranty. Further, in no
event shall the liability of United International Bank exceed the
amounts paid by you for the services provided to you through Internet
Banking. Consumer Liability for Unauthorized Transactions Tell us immediately if you believe your Password has been lost or stolen. If you tell us within two (2) business days, you can lose no more than FIFTY DOLLARS ($50.00) if someone used your Password without your permission. If you do NOT tell us within two (2) business days after you learn of the loss or theft of your Username and Password, and we can prove that we could have stopped someone from using your Username and Password without your permission if you had told us, you could lose as much as FIVE HUNDRED DOLLARS ($500.00). Also, if your statement shows transactions that you did not make, tell us at once. If you do not tell us within sixty (60) days after the statement was mailed to you, you may not get back any money you lost if we can prove that we could have stopped someone from taking the money if you had told us in time. We are liable only for losses in excess of the limits stated. Please see our Regulation E, Electronic Funds Transfer Disclosure for complete information. Your Right to Terminate You may cancel your Internet Banking service at any time by providing us with written notice by postal mail or fax. Your access to Internet Banking will be suspended within 3 business days of our receipt of your instructions to cancel the service. You will remain responsible for all outstanding fees and charges incurred prior to the date of cancellation. We recommend that you cancel all bill payments that you have scheduled to avoid any duplication of future payments. Our Right to Terminate You agree that we can terminate or limit your access to Internet Banking services, upon reasonable notice, for any reason at our sole discretion. Consent to Electronic Delivery of Notices You agree that any notice or other type of communication provided to you pursuant to the terms of this Agreement, and any future disclosures required by law, including Electronic Funds Transfer disclosures, may be made electronically by posting the notice on the United International Bank website or by e-mail. You agree to notify us immediately of any change in your e-mail address. BILL PAYING AGREEMENT/DISCLOSURE This is your bill paying agreement with United International Bank. You
may use United International Bank bill paying service, BillPay, to
direct United International Bank to make payments from your designated
checking account to the Payees you choose in accordance with this
agreement. The terms and conditions of this Agreement are in addition to
the Account agreements, disclosures and other documents in effect from
time to time governing your Account (the Account Rules). HOW TO SET UP PAYEES/PAYMENTS Complete a bill paying enrollment form. If you want to add a new Payee, use “SET UP ACCOUNTS/PAYEE” on the Internet or speak to our Customer Service Representative. You may add a new fixed payment to a Payee, only if the Payee is on your authorized list of payees, and by accessing the Service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the Service. We reserve the right to refuse the designation of a Payee for any reason. Each Payee accepted by us will be assigned a payee code. You may pay any payee you wish in the US. However, you cannot use this service to make transfers to any person subject to Office of Foreign Asset Control restrictions, or to other payees or categories of payees that we establish from time to time. We are not responsible if a Bill Payment can not be made due to incomplete, incorrect, or outdated information provided by you regarding a Payee or if you attempt to pay a Payee that is not on your Authorized Payee list. ACCESSING THE SERVICE When you complete your bill paying enrollment form, you will select a USER I.D. and Personal Identification Number (PIN). We will make every effort to accommodate your request. Each time you access the Service, you will be asked to enter your USER ID AND PIN. Correct responses will give you access to the Service. THE BILL PAYING PROCESS Single Payments
Note: If your frequency settings for the recurring payment specify the
29th, 30th, or 31st as a particular day of the month for processing and
that day does not exist in the month of the calculated process date,
then the last calendar day of that month is used as the calculated
process date. LIABILITY You are solely responsible for controlling the safekeeping of, and access to, your Personal Identification Number (PIN). You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify the Bank and arrange to change your PIN. You will be responsible for any Bill Payment request you make that contains an error or is a duplicate of another Bill Payment. The Bank is not responsible for a Bill Payment that is not made if you did not properly follow the instructions for making a Bill Payment. The Bank is not liable for any failure to make a Bill Payment if you fail to promptly notify the Bank after you learn that you have not received credit from a Payee for a Bill Payment. The Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Bank’s agent. In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Bank has knowledge of the possibility of them. The Bank is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Bank’s reasonable control. Amendment and Termination The Bank has the right to change this Agreement at any time by notice
mailed to you at the last address shown for the Account on the Bank’s
records, by posting notice in branches of the Bank, or as otherwise
